最高人民法院關于審理建設工程施工合同糾紛案件 適用法律問題的解釋(二)解析——承包人優先受償權

    為正確審理建(jian)設工(gong)(gong)(gong)程施(shi)工(gong)(gong)(gong)合同(tong)糾(jiu)紛案(an)件,依(yi)法(fa)(fa)保護當(dang)事人合法(fa)(fa)權(quan)益(yi),維護建(jian)筑(zhu)(zhu)市場(chang)秩序,促進(jin)建(jian)筑(zhu)(zhu)市場(chang)健康發展,根據《中(zhong)(zhong)華人民共(gong)(gong)和國(guo)民法(fa)(fa)總(zong)則》《中(zhong)(zhong)華人民共(gong)(gong)和國(guo)合同(tong)法(fa)(fa)》《中(zhong)(zhong)華人民共(gong)(gong)和國(guo)建(jian)筑(zhu)(zhu)法(fa)(fa)》《中(zhong)(zhong)華人民共(gong)(gong)和國(guo)招標投(tou)標法(fa)(fa)》《中(zhong)(zhong)華人民共(gong)(gong)和國(guo)民事訴訟法(fa)(fa)》等法(fa)(fa)律規定,結合審判實踐。2018年(nian)(nian)10月(yue)29日最高(gao)人民法(fa)(fa)院審判委員(yuan)會第1751次會議通過《最高(gao)人民法(fa)(fa)院關于審理建(jian)設工(gong)(gong)(gong)程施(shi)工(gong)(gong)(gong)合同(tong)糾(jiu)紛案(an)件適(shi)用法(fa)(fa)律問題的(de)解(jie)釋(二(er)(er))》【下稱“建(jian)設工(gong)(gong)(gong)程施(shi)工(gong)(gong)(gong)合同(tong)解(jie)釋(二(er)(er))”】,并自2019年(nian)(nian)2月(yue)1日起施(shi)行。
    我(wo)公司(si)(si)作為房地產企(qi)業,該司(si)(si)法(fa)解釋(shi)對(dui)(dui)我(wo)公司(si)(si)影(ying)響較(jiao)大,法(fa)務部對(dui)(dui)其中承包(bao)人優先受償權進行(xing)了學習(xi),具體如下:
    《建設工程(cheng)施工合同》承包人的優(you)先受償權
    根據《中華(hua)人民(min)共(gong)和國合同法(fa)》、《建設工程(cheng)施工合同解釋(二)》以及(ji)《最高院關于建設工程(cheng)價款優先(xian)受償(chang)權問題的(de)批(pi)復》進行分析如下:
    《中華人(ren)民共和國合同法(fa)》第286條規定:“發包(bao)(bao)人(ren)未按(an)照約定支付(fu)價款的(de),承包(bao)(bao)人(ren)可(ke)以催告發包(bao)(bao)人(ren)在合理期限內支付(fu)價款。發包(bao)(bao)人(ren)逾期不(bu)支付(fu)的(de),除按(an)照建設工(gong)程(cheng)(cheng)的(de)性質(zhi)不(bu)宜(yi)折(zhe)(zhe)價、拍(pai)賣的(de)以外,承包(bao)(bao)人(ren)可(ke)以與發包(bao)(bao)人(ren)協議(yi)將(jiang)該工(gong)程(cheng)(cheng)折(zhe)(zhe)價,也可(ke)以申請人(ren)民法(fa)院(yuan)將(jiang)該工(gong)程(cheng)(cheng)依(yi)法(fa)拍(pai)賣。建設工(gong)程(cheng)(cheng)的(de)價款就該工(gong)程(cheng)(cheng)折(zhe)(zhe)價或者拍(pai)賣的(de)價款優(you)先受(shou)償。”
    (一)主(zhu)體范圍:
    1、與發包人直接訂立(li)《建設(she)工程(cheng)施工合同》的承(cheng)包人。(依據《建設(she)工程(cheng)施工合同解釋(二)》第(di)17條規(gui)定:“與發包人訂立(li)建設(she)工程(cheng)施工合同的承(cheng)包人,根據合同法第(di)二百八十(shi)六條規(gui)定請求其承(cheng)建工程(cheng)的價(jia)款(kuan)(kuan)就工程(cheng)折價(jia)或者拍賣的價(jia)款(kuan)(kuan)優(you)先受償的,人民法院(yuan)應予(yu)支持。”)具體理解如下:
    ①僅限(xian)于直(zhi)接與發包人訂立《建設工程施工合同(tong)》的承包人;
    ②不包(bao)(bao)(bao)括勘察人(ren)(ren)(ren)(ren)、設(she)計人(ren)(ren)(ren)(ren)、監理(li)人(ren)(ren)(ren)(ren)、分包(bao)(bao)(bao)人(ren)(ren)(ren)(ren)(但有例外,若發包(bao)(bao)(bao)人(ren)(ren)(ren)(ren)指(zhi)定分包(bao)(bao)(bao)人(ren)(ren)(ren)(ren),且在合同(tong)(tong)履行過程中(zhong),分包(bao)(bao)(bao)人(ren)(ren)(ren)(ren)完(wan)全替代(dai)承包(bao)(bao)(bao)人(ren)(ren)(ren)(ren),則發包(bao)(bao)(bao)人(ren)(ren)(ren)(ren)與分包(bao)(bao)(bao)人(ren)(ren)(ren)(ren)之(zhi)間直接形成(cheng)事(shi)實上的建設(she)工程施工合同(tong)(tong)關系,此(ci)種分包(bao)(bao)(bao)人(ren)(ren)(ren)(ren)享有優先受償權)。
    ③建設工程(cheng)施工合同無效的,實際(ji)施工人不享(xiang)有(you)優先受償權。
    2、與發(fa)包(bao)(bao)人(ren)(ren)直接(且(qie)發(fa)包(bao)(bao)人(ren)(ren)系建(jian)筑物(wu)的所有(you)權(quan)人(ren)(ren))訂(ding)立(li)裝飾裝修(xiu)工(gong)(gong)程(cheng)(cheng)施(shi)工(gong)(gong)合(he)同的承包(bao)(bao)人(ren)(ren)。(同依據《建(jian)設(she)工(gong)(gong)程(cheng)(cheng)施(shi)工(gong)(gong)合(he)同解釋(二)》第17條規定:“與發(fa)包(bao)(bao)人(ren)(ren)訂(ding)立(li)建(jian)設(she)工(gong)(gong)程(cheng)(cheng)施(shi)工(gong)(gong)合(he)同的承包(bao)(bao)人(ren)(ren),根據合(he)同法(fa)第二百八十六條規定請(qing)求其(qi)承建(jian)工(gong)(gong)程(cheng)(cheng)的價(jia)款就工(gong)(gong)程(cheng)(cheng)折價(jia)或者(zhe)拍賣的價(jia)款優先受償的,人(ren)(ren)民法(fa)院應予(yu)支持。”)具體理(li)解如下(xia):
    ①僅限于直接與(yu)發包(bao)人訂(ding)立(li)裝飾裝修工程(cheng)施工合同(tong)的(de)承包(bao)人;
    ②裝(zhuang)飾裝(zhuang)修工(gong)程的(de)(de)發包(bao)人(ren)(ren)須(xu)為該建(jian)筑物的(de)(de)所(suo)(suo)有(you)(you)權(quan)(quan)人(ren)(ren),或者發包(bao)人(ren)(ren)雖然不(bu)是所(suo)(suo)有(you)(you)權(quan)(quan)人(ren)(ren),但發包(bao)人(ren)(ren)屬于有(you)(you)權(quan)(quan)處分(fen)該建(jian)筑物的(de)(de)人(ren)(ren)(在(zai)發包(bao)人(ren)(ren)基于租(zu)賃、聯營占有(you)(you)、使用建(jian)筑物的(de)(de)情況下,與(yu)承包(bao)人(ren)(ren)訂立(li)裝(zhuang)飾裝(zhuang)修工(gong)程施工(gong)合同,未取得建(jian)筑物所(suo)(suo)有(you)(you)權(quan)(quan)人(ren)(ren)同意(yi)擔保的(de)(de),承包(bao)人(ren)(ren)不(bu)享有(you)(you)優先受(shou)償(chang)權(quan)(quan))。
    ③承(cheng)包人享有優先受償權的標的物(wu)僅限于(yu)“因裝(zhuang)飾裝(zhuang)修而使(shi)該建筑(zhu)物(wu)增加(jia)的價值范(fan)圍(wei)內。”
    (二)優先受償權擔保的工程價款債權之范圍
    1、發包人應當向(xiang)承(cheng)包人支付(fu)的(de)全部(bu)工程價款(kuan)。(依(yi)據《建設工程施工合同解(jie)釋(二(er))》第(di)21條第(di)一(yi)款(kuan)規(gui)定:“承(cheng)包人建設工程價款(kuan)優先受償的(de)范圍(wei)依(yi)照國務(wu)院有關行政主管(guan)部(bu)門關于建設工程價款(kuan)范圍(wei)的(de)規(gui)定確定。”)具(ju)體理解(jie)如下:
    ①包括(kuo):承包人(ren)實際支出的人(ren)工(gong)費(fei)(fei)(fei)、材料費(fei)(fei)(fei)、施工(gong)機具使用(yong)費(fei)(fei)(fei)、企業(ye)管理費(fei)(fei)(fei)、規(gui)費(fei)(fei)(fei)、稅金以及可得利潤。
    ②不包(bao)括因發包(bao)人(ren)逾(yu)期(qi)支(zhi)付到期(qi)工程(cheng)(cheng)價款所生(sheng)的(de)利息、違(wei)約(yue)金(jin)、損害賠(pei)償金(jin)。(依據《建設(she)工程(cheng)(cheng)施工合同解釋(shi)(二(er))》第(di)21條第(di)二(er)款規定:“承包(bao)人(ren)就逾(yu)期(qi)支(zhi)付建設(she)工程(cheng)(cheng)價款的(de)利息、違(wei)約(yue)金(jin)、損害賠(pei)償金(jin)等主張(zhang)優先受償的(de),人(ren)民(min)法(fa)院(yuan)不予支(zhi)持。”)
    (三)成立要件:
    1、主體僅限于與發包(bao)人直接訂立有效的建設工程施工合同的承包(bao)人;
    2、在法律規定的(de)受優先受償權擔(dan)保的(de)工程價款債權范圍(wei)內。
    3、發包人不支付到期工(gong)程價(jia)款(kuan)。
    4、經承包(bao)人催告后,經合(he)理期間,發包(bao)人仍未支付。
    5、建設工程在性質上適宜折價或拍賣。
    6、建(jian)設工(gong)(gong)(gong)程(cheng)經(jing)竣工(gong)(gong)(gong)驗收質(zhi)量(liang)合(he)(he)(he)(he)格,未竣工(gong)(gong)(gong)的(de)工(gong)(gong)(gong)程(cheng)(如爛尾(wei))經(jing)合(he)(he)(he)(he)法程(cheng)序驗收質(zhi)量(liang)合(he)(he)(he)(he)格。(依據(ju)《建(jian)設工(gong)(gong)(gong)程(cheng)施(shi)工(gong)(gong)(gong)合(he)(he)(he)(he)同解釋(二)》第19、20條規定:“建(jian)設工(gong)(gong)(gong)程(cheng)質(zhi)量(liang)合(he)(he)(he)(he)格,承(cheng)包人(ren)請(qing)求其(qi)(qi)承(cheng)建(jian)工(gong)(gong)(gong)程(cheng)的(de)價(jia)款(kuan)(kuan)就工(gong)(gong)(gong)程(cheng)折價(jia)或者拍賣的(de)價(jia)款(kuan)(kuan)優先受(shou)償(chang)的(de),人(ren)民(min)法院(yuan)應(ying)予(yu)支(zhi)持(chi)(chi)。未竣工(gong)(gong)(gong)的(de)建(jian)設工(gong)(gong)(gong)程(cheng)質(zhi)量(liang)合(he)(he)(he)(he)格,承(cheng)包人(ren)請(qing)求其(qi)(qi)承(cheng)建(jian)工(gong)(gong)(gong)程(cheng)的(de)價(jia)款(kuan)(kuan)就其(qi)(qi)承(cheng)建(jian)工(gong)(gong)(gong)程(cheng)部分(fen)折價(jia)或者拍賣的(de)價(jia)款(kuan)(kuan)優先受(shou)償(chang)的(de),人(ren)民(min)法院(yuan)應(ying)予(yu)支(zhi)持(chi)(chi)。”)
    (四(si))優先受償權的存續期間
    1、承(cheng)包(bao)(bao)人優先受償權的存續期間為六(liu)個(ge)月,自發包(bao)(bao)人應(ying)(ying)當(dang)(dang)給(gei)付建(jian)設(she)(she)工(gong)(gong)程(cheng)(cheng)(cheng)(cheng)價(jia)款(kuan)(kuan)之(zhi)日起算。(依(yi)據《建(jian)設(she)(she)工(gong)(gong)程(cheng)(cheng)(cheng)(cheng)施工(gong)(gong)合(he)同解釋(shi)(二)》第22條規定(ding)(ding):“承(cheng)包(bao)(bao)人行使建(jian)設(she)(she)工(gong)(gong)程(cheng)(cheng)(cheng)(cheng)價(jia)款(kuan)(kuan)優先受償權的期限為六(liu)個(ge)月,自發包(bao)(bao)人應(ying)(ying)當(dang)(dang)給(gei)付建(jian)設(she)(she)工(gong)(gong)程(cheng)(cheng)(cheng)(cheng)價(jia)款(kuan)(kuan)之(zhi)日起算。”),其中對(dui)于發包(bao)(bao)人“應(ying)(ying)當(dang)(dang)給(gei)付建(jian)設(she)(she)工(gong)(gong)程(cheng)(cheng)(cheng)(cheng)價(jia)款(kuan)(kuan)之(zhi)日”的確定(ding)(ding)予(yu)以以下理解:
    (1)發(fa)包(bao)人(ren)(ren)與承包(bao)人(ren)(ren)有(you)約定的(de),按約定。
    (2)沒有約定(ding)的(de),下(xia)例時間(jian)(jian)視為發包(bao)人應當給付建設工程價款(kuan)的(de)時間(jian)(jian):
    ①建設(she)工程已實際交(jiao)付(fu)(fu)的,為(wei)交(jiao)付(fu)(fu)之日;
    ②建設工程沒有交付的(de),為提交竣工結算文件之日;
    ③建設(she)(she)工(gong)(gong)(gong)程(cheng)(cheng)(cheng)未(wei)交(jiao)(jiao)付(fu),工(gong)(gong)(gong)程(cheng)(cheng)(cheng)價(jia)(jia)款(kuan)也(ye)未(wei)結(jie)算(suan)的(de),為當事人(ren)(ren)起訴之(zhi)日(ri)。(依(yi)據《建設(she)(she)工(gong)(gong)(gong)程(cheng)(cheng)(cheng)施工(gong)(gong)(gong)合同解(jie)釋》第(di)18條規定:“利息(xi)從應付(fu)工(gong)(gong)(gong)程(cheng)(cheng)(cheng)價(jia)(jia)款(kuan)之(zhi)日(ri)計付(fu)。當事人(ren)(ren)對(dui)付(fu)款(kuan)時(shi)間沒(mei)有約(yue)定或者約(yue)定不明的(de),下列時(shi)間視為應付(fu)款(kuan)時(shi)間:(一)建設(she)(she)工(gong)(gong)(gong)程(cheng)(cheng)(cheng)已實際(ji)交(jiao)(jiao)付(fu)的(de),為交(jiao)(jiao)付(fu)之(zhi)日(ri);(二)建設(she)(she)工(gong)(gong)(gong)程(cheng)(cheng)(cheng)沒(mei)有交(jiao)(jiao)付(fu)的(de),為提交(jiao)(jiao)竣(jun)工(gong)(gong)(gong)結(jie)算(suan)文件之(zhi)日(ri);(三)建設(she)(she)工(gong)(gong)(gong)程(cheng)(cheng)(cheng)未(wei)交(jiao)(jiao)付(fu),工(gong)(gong)(gong)程(cheng)(cheng)(cheng)價(jia)(jia)款(kuan)也(ye)未(wei)結(jie)算(suan)的(de),為當事人(ren)(ren)起訴之(zhi)日(ri)。承包(bao)人(ren)(ren)行使建設(she)(she)工(gong)(gong)(gong)程(cheng)(cheng)(cheng)價(jia)(jia)款(kuan)優(you)先(xian)受償權的(de)期限為六(liu)個月,自(zi)發包(bao)人(ren)(ren)應當給付(fu)建設(she)(she)工(gong)(gong)(gong)程(cheng)(cheng)(cheng)價(jia)(jia)款(kuan)之(zhi)日(ri)起算(suan)。”)
    2、特別事由:(依(yi)據(ju)《建(jian)(jian)設(she)工(gong)程施(shi)工(gong)合同解釋(二(er))》第23條規定:“發包(bao)人(ren)與承包(bao)人(ren)約(yue)定放棄或者(zhe)限制建(jian)(jian)設(she)工(gong)程價款優(you)先受償權,損害建(jian)(jian)筑工(gong)人(ren)利益,發包(bao)人(ren)根(gen)據(ju)該約(yue)定主(zhu)張承包(bao)人(ren)不享有建(jian)(jian)設(she)工(gong)程價款優(you)先受償權的(de),人(ren)民法院不予支持。”)
    對于(yu)上述情形,一定程度上加大了(le)房地產(chan)開(kai)發企業的(de)壓力,但作(zuo)為法務(wu)部今后(hou)的(de)工作(zuo)不僅(jin)僅(jin)應在合同中加以風險防控(kong),更應該在公司現存的(de)建設工程糾紛類案件(jian)中,按照相(xiang)關法律法規,最大程度的(de)保(bao)護我公司合法權益。
