最高人民法院關于審理建設工程施工合同糾紛案件 適用法律問題的解釋(二)解析——承包人優先受償權

為正確審理建(jian)設工(gong)(gong)程(cheng)施工(gong)(gong)合(he)同(tong)糾紛案件(jian),依法保護當事(shi)人(ren)(ren)合(he)法權(quan)益,維(wei)護建(jian)筑市場秩序,促進建(jian)筑市場健康發展(zhan),根據《中(zhong)(zhong)華(hua)人(ren)(ren)民(min)(min)共(gong)和(he)國民(min)(min)法總則》《中(zhong)(zhong)華(hua)人(ren)(ren)民(min)(min)共(gong)和(he)國合(he)同(tong)法》《中(zhong)(zhong)華(hua)人(ren)(ren)民(min)(min)共(gong)和(he)國建(jian)筑法》《中(zhong)(zhong)華(hua)人(ren)(ren)民(min)(min)共(gong)和(he)國招(zhao)標投標法》《中(zhong)(zhong)華(hua)人(ren)(ren)民(min)(min)共(gong)和(he)國民(min)(min)事(shi)訴(su)訟法》等(deng)法律規定,結合(he)審判(pan)實踐。2018年10月29日(ri)最高人(ren)(ren)民(min)(min)法院審判(pan)委員會第1751次(ci)會議通過《最高人(ren)(ren)民(min)(min)法院關于審理建(jian)設工(gong)(gong)程(cheng)施工(gong)(gong)合(he)同(tong)糾紛案件(jian)適用法律問題的解(jie)釋(二(er))》【下(xia)稱(cheng)“建(jian)設工(gong)(gong)程(cheng)施工(gong)(gong)合(he)同(tong)解(jie)釋(二(er))”】,并自(zi)2019年2月1日(ri)起施行。
我公司(si)作(zuo)為房地產企業,該(gai)司(si)法解(jie)釋(shi)對我公司(si)影響較大,法務部(bu)對其中承包人優(you)先受償權進行了學習(xi),具(ju)體如下:
《建設工程(cheng)施工合(he)同》承(cheng)包人的優(you)先(xian)受償權
根據《中華人民共和國(guo)合同(tong)法》、《建(jian)設工程(cheng)施(shi)工合同(tong)解釋(shi)(二(er))》以及(ji)《最高(gao)院關(guan)于(yu)建(jian)設工程(cheng)價(jia)款優先受償權問(wen)題的批(pi)復》進行分析如(ru)下:
《中華人(ren)(ren)民共和國合(he)同法》第286條(tiao)規定(ding):“發(fa)包(bao)人(ren)(ren)未按照約定(ding)支(zhi)付價(jia)款(kuan)(kuan)的,承包(bao)人(ren)(ren)可以(yi)催告發(fa)包(bao)人(ren)(ren)在合(he)理期(qi)(qi)限內支(zhi)付價(jia)款(kuan)(kuan)。發(fa)包(bao)人(ren)(ren)逾期(qi)(qi)不支(zhi)付的,除按照建設(she)工(gong)程(cheng)(cheng)的性質不宜折價(jia)、拍賣(mai)的以(yi)外,承包(bao)人(ren)(ren)可以(yi)與發(fa)包(bao)人(ren)(ren)協議將該工(gong)程(cheng)(cheng)折價(jia),也(ye)可以(yi)申請人(ren)(ren)民法院將該工(gong)程(cheng)(cheng)依法拍賣(mai)。建設(she)工(gong)程(cheng)(cheng)的價(jia)款(kuan)(kuan)就(jiu)該工(gong)程(cheng)(cheng)折價(jia)或者拍賣(mai)的價(jia)款(kuan)(kuan)優(you)先(xian)受償。”
(一)主體范圍:
1、與發包人(ren)(ren)直(zhi)接訂立(li)《建(jian)設(she)工(gong)(gong)(gong)程(cheng)施工(gong)(gong)(gong)合同(tong)》的(de)承包人(ren)(ren)。(依據(ju)《建(jian)設(she)工(gong)(gong)(gong)程(cheng)施工(gong)(gong)(gong)合同(tong)解釋(二)》第17條(tiao)規(gui)定:“與發包人(ren)(ren)訂立(li)建(jian)設(she)工(gong)(gong)(gong)程(cheng)施工(gong)(gong)(gong)合同(tong)的(de)承包人(ren)(ren),根據(ju)合同(tong)法(fa)第二百八十六條(tiao)規(gui)定請求其承建(jian)工(gong)(gong)(gong)程(cheng)的(de)價款就工(gong)(gong)(gong)程(cheng)折價或者拍賣的(de)價款優(you)先受償(chang)的(de),人(ren)(ren)民法(fa)院應(ying)予(yu)支持。”)具體理解如下:
①僅限于直接與發包(bao)人訂立《建設(she)工程施工合同(tong)》的(de)承包(bao)人;
②不包括勘察人(ren)(ren)、設計人(ren)(ren)、監理(li)人(ren)(ren)、分(fen)包人(ren)(ren)(但(dan)有例外,若發包人(ren)(ren)指(zhi)定分(fen)包人(ren)(ren),且在合同履行過(guo)程(cheng)中,分(fen)包人(ren)(ren)完(wan)全(quan)替代承包人(ren)(ren),則(ze)發包人(ren)(ren)與(yu)分(fen)包人(ren)(ren)之間直接形(xing)成事(shi)實(shi)上(shang)的建設工程(cheng)施(shi)工合同關系,此種分(fen)包人(ren)(ren)享(xiang)有優先受償權)。
③建設工(gong)程(cheng)施工(gong)合(he)同無效的,實際(ji)施工(gong)人不享有優先受(shou)償權。
2、與發(fa)包人(ren)直(zhi)接(且(qie)發(fa)包人(ren)系建筑物的(de)(de)所有權人(ren))訂(ding)立裝(zhuang)飾(shi)裝(zhuang)修工(gong)程(cheng)施工(gong)合(he)同(tong)(tong)的(de)(de)承(cheng)包人(ren)。(同(tong)(tong)依據《建設工(gong)程(cheng)施工(gong)合(he)同(tong)(tong)解釋(二(er))》第(di)17條規(gui)(gui)定:“與發(fa)包人(ren)訂(ding)立建設工(gong)程(cheng)施工(gong)合(he)同(tong)(tong)的(de)(de)承(cheng)包人(ren),根據合(he)同(tong)(tong)法(fa)(fa)第(di)二(er)百八十(shi)六條規(gui)(gui)定請求其承(cheng)建工(gong)程(cheng)的(de)(de)價(jia)款(kuan)就工(gong)程(cheng)折價(jia)或者拍賣的(de)(de)價(jia)款(kuan)優先受償的(de)(de),人(ren)民法(fa)(fa)院(yuan)應(ying)予支持。”)具體理解如下:
①僅(jin)限(xian)于直接與(yu)發包人訂立裝飾裝修工程施(shi)工合同的承包人;
②裝飾裝修工(gong)程(cheng)的(de)(de)發包(bao)(bao)(bao)人(ren)須為該(gai)建(jian)(jian)(jian)筑(zhu)物的(de)(de)所(suo)有(you)(you)(you)權人(ren),或者發包(bao)(bao)(bao)人(ren)雖然不是所(suo)有(you)(you)(you)權人(ren),但發包(bao)(bao)(bao)人(ren)屬于(yu)有(you)(you)(you)權處分該(gai)建(jian)(jian)(jian)筑(zhu)物的(de)(de)人(ren)(在發包(bao)(bao)(bao)人(ren)基于(yu)租賃、聯(lian)營占有(you)(you)(you)、使(shi)用建(jian)(jian)(jian)筑(zhu)物的(de)(de)情(qing)況下,與承包(bao)(bao)(bao)人(ren)訂立(li)裝飾裝修工(gong)程(cheng)施工(gong)合同,未(wei)取(qu)得建(jian)(jian)(jian)筑(zhu)物所(suo)有(you)(you)(you)權人(ren)同意擔(dan)保的(de)(de),承包(bao)(bao)(bao)人(ren)不享有(you)(you)(you)優先受償(chang)權)。
③承包人(ren)享有(you)優先受(shou)償權(quan)的(de)標的(de)物僅限于“因裝(zhuang)飾裝(zhuang)修而使(shi)該建筑物增(zeng)加的(de)價值范圍(wei)內。”
(二)優先受償權擔保的工程(cheng)價(jia)款債(zhai)權之范圍
1、發包(bao)人應當向承包(bao)人支付的全部(bu)工(gong)(gong)程(cheng)價(jia)(jia)款(kuan)。(依據《建(jian)設(she)工(gong)(gong)程(cheng)施(shi)工(gong)(gong)合(he)同解釋(shi)(二)》第(di)21條第(di)一款(kuan)規(gui)定:“承包(bao)人建(jian)設(she)工(gong)(gong)程(cheng)價(jia)(jia)款(kuan)優先受償的范圍依照(zhao)國務院有關行政主管部(bu)門關于(yu)建(jian)設(she)工(gong)(gong)程(cheng)價(jia)(jia)款(kuan)范圍的規(gui)定確定。”)具(ju)體(ti)理解如下:
①包括:承包人實際支出的人工費(fei)(fei)、材料費(fei)(fei)、施工機具使用費(fei)(fei)、企業(ye)管理費(fei)(fei)、規(gui)費(fei)(fei)、稅金以(yi)及可得利潤。
②不包括因發(fa)包人逾期(qi)支(zhi)(zhi)付(fu)到期(qi)工程價款(kuan)(kuan)所生的利(li)息(xi)、違約金(jin)(jin)、損(sun)害賠(pei)償金(jin)(jin)。(依據《建設(she)工程施工合同解釋(shi)(二)》第(di)21條(tiao)第(di)二款(kuan)(kuan)規定:“承包人就逾期(qi)支(zhi)(zhi)付(fu)建設(she)工程價款(kuan)(kuan)的利(li)息(xi)、違約金(jin)(jin)、損(sun)害賠(pei)償金(jin)(jin)等主張優先受償的,人民(min)法院(yuan)不予支(zhi)(zhi)持。”)
(三(san))成立要件:
1、主體僅限于與(yu)發包人直接(jie)訂(ding)立有效的建設工程施工合同的承包人;
2、在法(fa)律(lv)規定的受(shou)優先受(shou)償權(quan)擔保的工程價款(kuan)債(zhai)權(quan)范圍內。
3、發(fa)包人不支付到期工程價款。
4、經承包人催告后(hou),經合理期(qi)間(jian),發包人仍未(wei)支付。
5、建設工程在性質上適宜折價或拍(pai)賣。
6、建(jian)設(she)(she)工(gong)(gong)程(cheng)經(jing)竣工(gong)(gong)驗收(shou)質(zhi)(zhi)量合格(ge),未竣工(gong)(gong)的(de)(de)(de)(de)工(gong)(gong)程(cheng)(如爛(lan)尾)經(jing)合法程(cheng)序(xu)驗收(shou)質(zhi)(zhi)量合格(ge)。(依(yi)據《建(jian)設(she)(she)工(gong)(gong)程(cheng)施工(gong)(gong)合同(tong)解釋(二(er))》第(di)19、20條(tiao)規定:“建(jian)設(she)(she)工(gong)(gong)程(cheng)質(zhi)(zhi)量合格(ge),承包人(ren)請求其(qi)承建(jian)工(gong)(gong)程(cheng)的(de)(de)(de)(de)價(jia)款就工(gong)(gong)程(cheng)折價(jia)或(huo)者拍賣的(de)(de)(de)(de)價(jia)款優先受償的(de)(de)(de)(de),人(ren)民法院(yuan)應(ying)予(yu)支持。未竣工(gong)(gong)的(de)(de)(de)(de)建(jian)設(she)(she)工(gong)(gong)程(cheng)質(zhi)(zhi)量合格(ge),承包人(ren)請求其(qi)承建(jian)工(gong)(gong)程(cheng)的(de)(de)(de)(de)價(jia)款就其(qi)承建(jian)工(gong)(gong)程(cheng)部分折價(jia)或(huo)者拍賣的(de)(de)(de)(de)價(jia)款優先受償的(de)(de)(de)(de),人(ren)民法院(yuan)應(ying)予(yu)支持。”)
(四(si))優先受償權的存續(xu)期間
1、承包(bao)人(ren)(ren)優先(xian)受償權的存續期間為六個(ge)(ge)月(yue),自(zi)發包(bao)人(ren)(ren)應當(dang)給(gei)付建(jian)設(she)工(gong)程價款(kuan)之日(ri)起算(suan)。(依(yi)據《建(jian)設(she)工(gong)程施工(gong)合同(tong)解釋(二)》第22條規定:“承包(bao)人(ren)(ren)行使(shi)建(jian)設(she)工(gong)程價款(kuan)優先(xian)受償權的期限為六個(ge)(ge)月(yue),自(zi)發包(bao)人(ren)(ren)應當(dang)給(gei)付建(jian)設(she)工(gong)程價款(kuan)之日(ri)起算(suan)。”),其中對于(yu)發包(bao)人(ren)(ren)“應當(dang)給(gei)付建(jian)設(she)工(gong)程價款(kuan)之日(ri)”的確定予(yu)以以下理解:
(1)發包人與承包人有(you)約(yue)定(ding)的,按約(yue)定(ding)。
(2)沒有約定的,下例時(shi)間(jian)視為發(fa)包人應(ying)當給付建設工程(cheng)價款的時(shi)間(jian):
①建設工(gong)程(cheng)已實(shi)際交付的,為交付之日(ri);
②建設工程沒有交(jiao)(jiao)付的(de),為提(ti)交(jiao)(jiao)竣工結算文件之日;
③建(jian)設(she)(she)(she)(she)工(gong)(gong)(gong)(gong)程(cheng)(cheng)(cheng)(cheng)未交付(fu)(fu),工(gong)(gong)(gong)(gong)程(cheng)(cheng)(cheng)(cheng)價(jia)(jia)(jia)款(kuan)也(ye)未結算(suan)的(de)(de),為當(dang)(dang)事人起(qi)訴之日(ri)。(依據《建(jian)設(she)(she)(she)(she)工(gong)(gong)(gong)(gong)程(cheng)(cheng)(cheng)(cheng)施工(gong)(gong)(gong)(gong)合(he)同解釋》第(di)18條規定(ding)(ding)(ding):“利息從應(ying)(ying)付(fu)(fu)工(gong)(gong)(gong)(gong)程(cheng)(cheng)(cheng)(cheng)價(jia)(jia)(jia)款(kuan)之日(ri)計付(fu)(fu)。當(dang)(dang)事人對(dui)付(fu)(fu)款(kuan)時間(jian)沒有約定(ding)(ding)(ding)或者約定(ding)(ding)(ding)不明(ming)的(de)(de),下列時間(jian)視為應(ying)(ying)付(fu)(fu)款(kuan)時間(jian):(一)建(jian)設(she)(she)(she)(she)工(gong)(gong)(gong)(gong)程(cheng)(cheng)(cheng)(cheng)已實際交付(fu)(fu)的(de)(de),為交付(fu)(fu)之日(ri);(二)建(jian)設(she)(she)(she)(she)工(gong)(gong)(gong)(gong)程(cheng)(cheng)(cheng)(cheng)沒有交付(fu)(fu)的(de)(de),為提交竣工(gong)(gong)(gong)(gong)結算(suan)文件(jian)之日(ri);(三)建(jian)設(she)(she)(she)(she)工(gong)(gong)(gong)(gong)程(cheng)(cheng)(cheng)(cheng)未交付(fu)(fu),工(gong)(gong)(gong)(gong)程(cheng)(cheng)(cheng)(cheng)價(jia)(jia)(jia)款(kuan)也(ye)未結算(suan)的(de)(de),為當(dang)(dang)事人起(qi)訴之日(ri)。承包人行(xing)使(shi)建(jian)設(she)(she)(she)(she)工(gong)(gong)(gong)(gong)程(cheng)(cheng)(cheng)(cheng)價(jia)(jia)(jia)款(kuan)優(you)先受(shou)償(chang)權的(de)(de)期限為六(liu)個(ge)月(yue),自(zi)發包人應(ying)(ying)當(dang)(dang)給付(fu)(fu)建(jian)設(she)(she)(she)(she)工(gong)(gong)(gong)(gong)程(cheng)(cheng)(cheng)(cheng)價(jia)(jia)(jia)款(kuan)之日(ri)起(qi)算(suan)。”)
2、特別事(shi)由:(依據(ju)《建設工程施(shi)工合(he)同解釋(shi)(二(er))》第23條規定(ding):“發(fa)包人與承包人約(yue)定(ding)放(fang)棄或(huo)者限制建設工程價(jia)款優(you)先受(shou)償(chang)(chang)權,損(sun)害建筑工人利(li)益,發(fa)包人根據(ju)該約(yue)定(ding)主張(zhang)承包人不享(xiang)有建設工程價(jia)款優(you)先受(shou)償(chang)(chang)權的,人民(min)法院不予支持。”)
對于(yu)上述情形,一定程度(du)上加大了房地產開(kai)發企業的(de)壓(ya)力,但作為法(fa)務部今(jin)后的(de)工(gong)作不僅僅應(ying)在(zai)合同(tong)中(zhong)加以風險防控(kong),更(geng)應(ying)該在(zai)公(gong)司現(xian)存的(de)建設(she)工(gong)程糾紛類案件(jian)中(zhong),按(an)照相關法(fa)律(lv)法(fa)規,最大程度(du)的(de)保護(hu)我公(gong)司合法(fa)權益。
